How can I participate in the Shareholders’ Meeting?

In accordance with Article R.225.85 of the French Commercial Code, to take part in the Shareholders’ Meeting, you must prove ownership of your shares three business days before the Meeting, i.e., on April 17, 2012.

  • If you are a registered shareholder, you can register your shares in the Company register by that date.
  • If you are a bearer shareholder, this can be done by registering your shares in your own name or in the name of an intermediary registered on your behalf (if you are not a resident of France) in your securities account held by your bank or the financial intermediary responsible for managing that account. The latter is required to issue an investment certificate to prove the registration of the securities in an account. 

How do I vote?

You may exercise your voting right in three different ways:

The easy way to exercise your shareholder rights online

Online voting is simple, fast, modern and safe. It provides you with an easy way to exercise your shareholder rights and:

  • vote directly on the resolutions,
  • cede power to the Chairman or a third party,
  • print your admission card to attend the Shareholders’ Meeting.

Note: if you sell your shares after transmitting your instructions (and until three business days before the Meeting, i.e., on April 17, 2012), your intermediary will report this sale to Société Générale, which will cancel your instructions (vote, card request, ceding of power) without any action on your part.

I want to attend the Shareholders’ Meeting

  • If you are a registered shareholder, you must request your admission card from Société Générale no later than five days before the Shareholders’ Meeting (i.e., on April 18, 2012). Société Générale will send the admission card to you directly.
  • If you are a bearer shareholder, ask your financial intermediary to contact Société Générale. Your financial intermediary is responsible for transmitting your request for participation in the Shareholders’ Meeting and your share certificate. Société Générale will then send you your admission card by mail.

 

I want to vote online
From April 4 to April 20, 2012 up to 3 pm (Paris time):

  • If you are a directly registered shareholder:

Use your usual access codes to log into www.nominet.socgen.com, the site that manages your registered assets, using. Your access code is shown at the bottom of your statements as well as on your voting form.

In your personal area, click on the link in the “Shareholders’ Meeting” section to access the voting site.

  • If you are an indirectly registered shareholder:

Log into www.ag.gdfsuez.com using the ID shown on your voting form and the password that was sent to you. Then follow the voting directions displayed on the site.

  • If you are a bearer shareholder:

GDF SUEZ is one of the first French companies to allow its bearer shareholders to use VOTACCESS: this widespread voting system designed by AFTI (the French association of securities professionals), aims to simplify the voting procedure for bearer shareholders, irrespective of their banks.
At present, this system is still in the deployment phase and is only accessible to bearer shareholders:
- whose bank is connected to VOTACCESS,
- who hold at least 50 GDF SUEZ shares.
 
Log into your bank’s internet portal using your usual access codes.
Click the icon displayed on the line corresponding to your GDF SUEZ shares to access the VOTACCESS site and vote.

Please note: once you have voted online, you can no longer attend the Shareholders’ Meeting.

 

I want to vote by mail

  • If you are a registered shareholder, you must complete the form received by mail and send it to the institution appointed by GDF SUEZ at the following address:

  • If you are a bearer shareholder, you must return your voting form to your financial intermediary, which must then assure that Société Générale receives it at least three calendar days before the date of the meeting, i.e., on April 20, 2012, along with an admission card.

The mandatory deadline for receiving your instructions by Société Générale is: three calendar days before the Meeting, i.e., on April 20, 2012, for all types of vote.

Note: a shareholder who chooses to vote by mail can no longer attend the meeting, either in person or by proxy.

 

I want to grant proxy voting privileges to the Chairman or a third party

  • If you are a registered shareholder, you must send your proxy form directly to Société Générale.
  • If you are a bearer shareholder and decide to vote by proxy, the proxy form must be sent to your financial intermediary, which will transmit it to Société Générale at least three days before the Meeting, i.e., on April 20, 2012, together with an investment certificate.

Note: joint owners are required to select a single person, who will be considered as the owner, to represent them at the Meeting.
