The Environment Social and Governance (ESG) Department is organized as a <em>fili\u00e8re<\/em>; in it, the Sustainability Officers (GBU SOs or Country SOs) are responsible for the implementation of the Group\u2019s <a href=\"https:\/\/www.engie.com\/en\/our-commitments\/esg-performance\/esg-publications\/\" target=\"_blank\" rel=\"noopener\">ESG policies<\/a>.<\/p>\n<p>ENGIE relies on <strong>specific governance for climate issues<\/strong>, illustrated in <a href=\"https:\/\/www.engie.com\/app\/uploads\/2026\/03\/Universal-Registration-Document-2025.pdf#page=109\" target=\"_blank\" rel=\"noopener\">the Universal Registration Document<\/a>.<\/p>\n<p>Governance for nature-related topics (pollution, water, biodiversity, circular economy and natural resources) is presented in a dedicated section of <a href=\"https:\/\/www.engie.com\/app\/uploads\/2026\/03\/Universal-Registration-Document-2025.pdf#page=126\" target=\"_blank\" rel=\"noopener\">the Universal Registration Document<\/a>.<\/p>\n<h3>A remuneration policy to support sustainable performance<\/h3>\n<p>The Group offers everyone an individualized, fair and competitive remuneration package that reflects individual performance and levels of responsibility.<\/p>\n<p>Each year, the remuneration of executive directors is reviewed by the <strong>Board of Directors, on the recommendation of the Appointments, Remuneration and Governance Committee<\/strong>. It is submitted to the <strong>Annual General Meeting for approval.<\/strong><\/p>\n<p>It is determined on the basis of both financial and extra-financial criteria, which reflects the Group\u2019s commitment towards sustainability. The compensation criteria for the Chief Executive Officer, the executive committee members and the senior executives of ENGIE for 2025 are presented in <a href=\"https:\/\/www.engie.com\/app\/uploads\/2026\/03\/Universal-Registration-Document-2025.pdf#page=93\" target=\"_blank\" rel=\"noopener\">a diagram published in the Universal Registration Document<\/a>.<\/p>\n<p>The individual and collective criteria most relevant to their activity have been determined and will serve as the basis for the annual bonus of the Group&#8217;s senior executives. In the event of behavior that is incompatible with the Group&#8217;s values \u2013 in terms of ethics, deontology and safety \u2013 they will be awarded a malus.<\/p>\n<p>The remuneration structures for the annual variable and long-term incentive components for 2026 for the Managing Director, other COMEX members and Group executives are illustrated in <a href=\"https:\/\/www.engie.com\/app\/uploads\/2026\/03\/Universal-Registration-Document-2025.pdf#page=94\" target=\"_blank\" rel=\"noopener\">a diagram published in the Universal Registration Document<\/a>.<\/p>\n<p>The financial and non-financial criteria adopted for 2026 are similar to those for 2025 for the annual variable compensation of the Managing Director, the Executive Committee
