A Board of Directors that shapes Group strategy

 

The Board of Directors defines the strategic business guidelines and directions of ENGIE, and supervises their implementation. Its composition reflects a broad diversity of complementary experience, allowing its members to protect and promote the interests of all shareholders.

The Company is administered by a Board of Directors with 14 members:

 

  • 7 directors appointed by the Annual General Shareholders’ Meeting.

Committees of the Board

 

Four Committees assist the Board of Directors in its deliberations. Solicited on specific subjects in preparation for certain deliberations, they transmit their recommendations on the decisions to be taken. Each Committee is chaired by an independent Director.

The Executive Committee, lead by Catherine MacGregor, is the principal body directing ENGIE. In the context of the far-reaching changes affecting the energy sector, to which the Group is replying through its transformation plan, it implements ENGIE's strategic decisions and monitors the Group's operational performance according to the guidelines defined by the Board of Directors.

Thanks to its diversity and the complementarity of its experiences, ENGIE’s Board of Directors takes into account the interests of all its stakeholders, including its shareholders, to meet the challenges that are revolutionising the energy world.

 

ENGIE’s Board of Directors is composed of 15 members. In accordance with the Afep-Medef Code, 6 Directors are considered independent, i.e. a rate of 64%(1). ENGIE also ensures a balanced representation of women and men in the Board and a reinforcement of the diversity and international experience of its Board of Directors. 7 of its members are women(1) and 4 nationalities are represented in its midst.

Catherine MacGregor

Catherine MacGregor is Group Chief Executive Officer and Board Member of ENGIE. Since joining in January 2021, she has led the ENGIE Group with the conviction that the energy transition has to be positive and desirable for all.

Throughout her career, spent entirely in the energy sector, Catherine has held multiple international leadership and executive positions. From 2019 to 2020, she was a member of the TechnipFMC Executive Committee and head of Technip Energies, the engineering activities entity, whose IPO she notably led. Prior to this, she worked for 23 years at Schlumberger, where she held various positions including operational engineer, Group Vice President in charge of HR, and finally President of several of the Group’s entities such as Drilling and Europe & Africa.

In December 2023, Catherine MacGregor joined the Microsoft Board as an independent board member. Actively involved in the World Economic Forum, she is a member of its Alliance of CEO Climate Leaders.

Catherine MacGregor graduated as an engineer from Ecole Centrale Paris (Centrale Supélec).

Paulo Almirante

After more than 25 years of experience in the energy sector, Paulo Almirante has recognized expertise in power generation, energy infrastructures and energy services. He joined the Group in 2011 following the merger of International Power by ENGIE.

In 2016, he was appointed Executive Vice President of ENGIE in charge of supervising the Northern, Southern and Eastern Europe; Middle East, South and Central Asia and Turkey; Brazil and Generation Europe Business Units. In 2018, became the Group’s Chief Operating Officer. From February 24 to December 31, 2020, Paulo Almirante was responsible for the operational management of the Group as a member of a collegial team with Claire Waysand and Judith Hartmann. In February 2021, he is appointed Senior Executive Vice President in charge of Renewable, Energy Management and Nuclear activities.

Since joining ENGIE, he has contributed to the transformation of the Group's industrial activities to make them more flexible and profitable, while developing these activities, in particular, in Brazil and the Middle East.

Paulo Almirante holds a Master's degree in Mechanics from the Technical University of Lisbon. He also holds a degree in Management from the Catholic University of Lisbon and a program in Global Leadership Development at the London Business School.

Sébastien Arbola

Sébastien Arbola began his career at BNP Paribas where he held various positions in finance from 1999 to 2006.

He joined Suez in 2006 before the merger with GDF. After holding various responsibilities within the Corporate finance team of ENGIE, Sébastien Arbola became Group M&A Director in 2011. He was appointed Chief Financial Officer and Senior Vice President of Asian environmental operations for Suez Environnement in 2013 based in Hong Kong.

Since 2016, he was head of the Middle East, South and Central Asia, Turkey and Africa region. In particular, he led the operations and growth of ENGIE in Dubai across the region, from large-scale power generation to water desalination to gas distribution and retail. In 2021, Sébastien Arbola is appointed Executive Vice President, in charge of Flex Gen & Retail.

Jean-Sébastien Blanc has successively held the positions of Head of Employee Relations, Human Resources Manager, then Director of Human Resources within the PSA and Danone Groups, and then Alstom as Director of Human Resources for the Transportation branch. He joined Compagnie Plastic Omnium in 2012 as Group Human Resources Director. He was also in charge of the "Act for All" sustainable development program and internal communication. In March 2021, he joined ENGIE as Executive Vice President in charge of Human Resources and Corporate. Jean-Sébastien Blanc has also held positions as a labor court advisor, then President of a regional association for inter-professional occupational medicine. Thierry SAEGEMAN graduated from the University of Ghent in 1994 with a Masters in Electromechanical Engineering, and then with an MBA from the Vlerick School in 1995. He began his career with ENGIE Electrabel in 1995, initially as a Combined Heat and Power Project Manager and then as a Project Developer on renewable energy projects. He then moved to France to pursue his career, first with the ENGIE Group as Managing Director of ENGIE Thermal France and then as CEO of Compagnie Nationale du Rhône in charge of hydro-power plant operations, energy management and the development of wind and solar. In 2016, he returned to Belgium as Chief Nuclear Officer, before becoming in addition Country Manager of ENGIE Belgium in 2021.

Frank Lacroix has spent most of his career in the energy sector, where he is recognized as an experienced leader in decentralized installations and energy services.  
During his 27 years with the Dalkia Group, he held various managerial positions up to the responsibilities of Managing Director of Dalkia France in 2008, then Chairman and CEO of the Dalkia Group in 2011. There, he accompanied the international development in large decentralized energy infrastructures, building energy installations and Facility Management (FM), and in particular led the refocusing of activities around energy efficiency and the reduction of greenhouse gas emissions. He joined EDF in 2014 after the spin-off of Dalkia, then joined SNCF in 2016 to prepare the opening to competition of the regional passenger transport business with a transformation program based on operational excellence and digital. He then joined ELIOR in early 2021 as CEO of its FM branch. In February 2023, Frank Lacroix joined ENGIE as Executive Vice President in charge of Energy Solutions activities.

Cécile Prévieu

Cécile Prévieu began her career in the French government, notably at the Ministry of Economy, Finance and Industry, as energy advisor to the Minister of Industry, then as transportation advisor to the Prime Minister.

She joined the ENGIE Group in 2010, where she held responsibilities with the Chief Executive Officer in charge of the Group's Networks Division, before being appointed Director of Asset Management at Storengy, then Chief Executive Officer of Storengy in 2015. She secured the storage activity in France through regulation and developed Storengy's decarbonated activities: production and storage of renewable gases (biomethane, hydrogen and e-methane) and the supply of heating and cooling through geothermal energy for cities and eco-neighborhoods.

In 2021, Cécile Prévieu was appointed Executive Vice President in charge of Energy Solutions activities. As of 1 February 2023, she is appointed Executive Vice President in charge of Networks activities.

An engineer by training, Cécile Prévieu is a graduate of the Ecole Polytechnique, the Ecole Nationale des Ponts et Chaussées, and the Institut d'Etudes Politiques de Paris.

Pierre-François Riolacci

Executive Vice President in charge of Finance, Corporate Social Responsibility and Procurement.

Pierre-François Riolacci has an extensive experience as finance and operational executive. He served in major international groups, in both Industry and Services, in several countries such as France, the United Kingdom, Congo or Denmark.

Pierre-François Riolacci started his career at ELF Aquitaine (Total), where he spent 11 years and held various positions in controlling, corporate finance and investor relations in France. He joined VEOLIA, where he served as Chief Financial Officer from 2010 to 2013. He was then appointed Chief Financial Officer of Air France-KLM Group in 2013. In 2016, he was appointed Chief Financial Officer of ISS Group, then became Chief Executive Officer Europe of ISS. In January 2022, he joined ENGIE as Executive Vice President in charge of Finance, Corporate Social Responsibility and Procurement.

Claire Waysand has spent most of her career working for the French government, and in particular headed the office of the Minister of Finance and Public Accounts. She was previously Deputy Director of the Prime Minister's Office and Deputy Director General of the Treasury. Claire Waysand has represented France on the European Economic and Financial Committee and was a director of the European Investment Bank (EIB), and worked at the International Monetary Fund. Claire Waysand joined ENGIE Group in October 2019 as Corporate Secretary. From February 24 to December 31, 2020, she was appointed Acting Chief Executive Officer and, together with Judith Hartmann and Paulo Almirante, was responsible for the operational management of the Group. In 2021, Claire Waysand is appointed Executive Vice President, in charge of Corporate Secretariat, Strategy, Research & Innovation and Communication. She brings her in-depth knowledge of French, European and international economic and financial issues and her experience to the service of the Group's strategy. Claire Waysand is a graduate of Ecole Polytechnique and ENSAE, holds a Master of Science in Economics (London School of Economics) and a PhD in Economics (Paris X).
