What You Can Expect

The Contracts Advisor in this role will ensure that ENGIE North America projects are properly contracted in compliance with appropriate business and sector procurement and ethics policies for a specific project or work area within a larger project.  The Contracts Advisor administers the process of tendering, negotiating and formalizing Engineering, Procurement, Construction (EPC) related contracts and service contracts.

 

As the Contracts Advisor you are the single point of contact for specific project contract strategy, planning and implementation to meet the project goals.  Every day in this role you will work with multiple agreements in support of development and project delivery. 

 

  • Develop a list of potential bidders, solicits contractor/supplier and issue Expression of Interest (EoI) letters based on the contracting plan and project requirements, and evaluate responses to the EoI letter to develop a final bidder list
  • Develop the Request for Proposal (RFP) packages relying on discussions and documentation from the Project Team members to provide a complete package meeting that includes the project schedule and incorporating stakeholder requirements
  • Administer the contract bidding process for contracts as bidder single point of contact using coordination meetings, site visits and issuing RFP addenda as required. Prepare bid tabulations incorporating Project Team member’s reviews to make final bidder recommendation
  • Notify the selected bidder and unsuccessful bidders providing bid feedback as appropriate. Support the negotiations with the selected bidder and release the other bidders
  • Administer and control the negotiations with the selected bidder using a documented process and good judgment to resolve Scope and Terms and Conditions differences
  • Prepare final contract, award letter and Notice to Proceed as appropriate
  • Review supplier/contract project invoicing for contract compliance
  • Review Change Order Requests and support the negotiations with the supplier/contractor using good judgment, the Project Team and relying on the contract terms. Negotiate schedule and cost impacts in an effort to preserve the contracting plan
  • Prepare final Change Orders for signature using the agreements, the results of the negotiations with the contractor and the Project Team
  • Prepare project close-out documentation using Provisional Acceptance and Final Acceptance contract documentation requirements

 

 

What You’ll Bring   

  • Bachelor’s degree in Engineering or related field where you have learned technical specifications and terms, contract terms, and scopes of work
  • Minimum seven (7) years’ experience in contract management for large industrial projects
  • Understanding of project execution and project related tax, finance, insurance, and legal issues
  • Ability to work independently and with geographically dispersed, cross-functional teams in an environment with a high level of deliverables    
  • Ability to use business computer programs MSWORD, EXCEL, VISIO, PowerPoint, Smartsheet, and COUPA, as well as scheduling software such as Microsoft Project Planner
  • Ability to communicate effectively, both verbal and written communications

Compensation

Salary Range: $112,000 – $172,500 USD annually

 

This represents the average expected pay range for a qualified candidate.

Actual offered salary may depend on geography, experience, industry knowledge, education, internal pay alignment, or other bona fide factors.

Context

The GEMS Legal & Regulation department (composed of 70+ legal counsels worldwide) is looking for a market regulation legal counsel to join a team composed of four people including a manager.

Your role will be to provide guidance to secure business activities in the day-to-day asset portfolio optimisation and trading operations in compliance with regulations and good market conduct. As part of this role, you will need to follow the evolutions in financial and energy regulations impacting GEMS trading activities, predominantly from an EU perspective.

Your role will also be to coordinate responses to regulatory investigations as well as to follow up any regulatory litigation.

As part of GEMS exciting environment, you will be able to discover both the physical and financial energy markets and fine-tune your regulatory skills in a wide variety of subject matters involving various stakeholders.

In your role, you will work closely with the business teams as well as with the other teams involved in market conduct topics, primarily the Compliance team as well as the team responsible for the surveillance of trading activities. You will be autonomous in collective projects with a very strong team sprit!

Role

You will be required to be agile to follow both significant regulatory developments as well as regulatory investigations and litigations.

 

With respect to regulatory developments, you will be required to:

  • Develop and maintain a deep understanding of market conduct, wholesale and financial market regulations impacting the GEMS activities;
  • Provide regulatory guidance to the business in respect notably to REMIT, MAR, EMIR, and MiFID;
  • Develop strategies, internal policies and solutions to facilitate market activities or regulatory compliance, and develop - together with other GEMS teams - the best practices in relation to market conduct topics, relevant financial regulations or wholesale energy market regulations;
  • Contribute to GEMS’ public affairs position and lobbying strategy towards public authorities and regulators to build favorable market design in respect of market conduct issues, wholesale energy and financial market regulation matters;
  • Furthering GEMS’ interest by attending and participating to trade associations committees (e.g. EFET, EURELECTRIC, AMAFI) and liaise with relevant competent regional and national stakeholders, in concertation with other GEMS teams and ENGIE Public Affairs Department;
  • Coordinate GEMS contribution to national and European consultation papers on relevant market conduct, financial and wholesale energy market regulation topics;
  • Lead, coordinate and structure training courses on regulations impacting GEMS activities.

 

With respect to investigations and litigations, you will be required to:

  • Lead, coordinate and structure replies to regulatory enquiries or investigations from financial and energy regulators, market exchanges, and transport system operators;
  • Lead and coordinate litigation matters;
  • Contribute to internal investigations in relation to market conduct topics in respect of GEMS activities.

About You

Hard skills

  • At least 3 years of professional experience either as in-house legal counsel or as a lawyer in a law firm with international exposure;
  • Experience in dealing with regulatory topics, preferably in energy and/or wholesale and/or financial market regulations. Experience f.i. with MAR, REMIT, MiFID or EMIR is an asset;
  • Strong legal reasoning skills;

PURPOSE OF THE ROLE

Ethics Officer for the South African region

KEY RESPONSIBILITIES

  • Acquire a good and precise understanding of ENGIE ethical documents, rules and policies;
  • Provide induction training to all new joiners and refresher training to all employees covering the guiding ethical principles and foster knowledge and awareness of both the Group and South African policies including the Ethics Code of Conduct, Gifts & Hospitality Policy, Due Diligence Policy, Group Embargo Policy, Supplier Relations Policy and Business Consultant Policy among others;
  • Organize and carry out annual training for all new directors in accordance with the Group’s Framework for Directors Guide;
  • Act as interface internally and externally to provide the first level of ethical advice to both the South African office and the AMEA Office;
  • Proactively engaging with the regional teams and the Ethics Officers’ network regarding their objectives and activities and assisting with mitigating risk and ensuring alignment with the Group’s ethical values;
  • Assist the South Africa Ethic Officer in raising awareness on ethics matters and data privacy regulations across South Africa;

  • Define and review local policies (in reporting tasks, in defining and following up the ethical action plan;
  • Work closely with the Group’s Ethics, Compliance and Privacy Department on an array of matters including embargo related queries and clearance, compliance committee updates and data privacy/GDPR issues;
  • Ensure the ethical watch in order to monitor the global trends in all ethical areas (embargos & sanctions, Human rights, anti-corruption matters etc.);
  • Ensure compliance with Ethical policies and procedures issued by the Group.
  • Monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the Group.
  • Promote the Group’s ethical culture and “Zero Tolerance Policy” within South Africa.

Key Responsibilities / Accountabilities :

  • Ensure all the legal support to thermal and renewable projects under development or in operations by Engie in the North Africa region (solar plant, wind farms, desalination plant, H2 project…).
  • Draft, negotiate and review various agreements (MoUs, JDA, PPA, EPC contract, Turbine supply agreement, call for tender documentation, etc.).
  • Advising and supporting M&A activities.
  • Insuring the follow-up of the transactions with the banks and financial institutions in accordance with the local regulation.
  • Actively contributing to the implementation of applicable compliance procedures in line with Ethics & Compliance guidelines.
  • Management of the corporate housekeeping of the companies and branches in the region.

 

Education

  • You have a Master Degree in law (preferably under French, English or Moroccan law);
  • You have 4 to 10 years’ experience working as an in-house or attorney (avocat);

 

Experience and Skills

  • You have an excellent command of French and English with excellent reading, writing and listening skills. Arabic is a plus.
  • You have specific experience in contract law, corporate law, energy law or public law.
  • Experience in the energy, utilities or industrial sector is a plus.
  • Experience in a reputed law firm is a clear plus.
  • You have a good understanding of the business issues and are eager to work in an international environment.
  • You work well in a team and have excellent communication skills.
